End User License Agreement

Last updated: 14 October 2026

This End User Licence Agreement ("EULA") is between Specifying Techniques CC ("S.T.") and the individual or organisation using S.T.'s websites, software, mobile applications or related services ("you"). It applies in addition to any signed client agreement.

1. Licence Grant

Subject to this EULA and payment of applicable fees, S.T. grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence for authorised users to access and use the software and related documentation solely for your internal business purposes and the service's intended functionality.

2. Ownership

The software, source and object code, interfaces, designs, databases, documentation, updates, trade marks and all intellectual property rights in them belong to S.T. or its licensors. Except for the limited licence expressly granted, no rights are transferred. Feedback may be used by S.T. without restriction, provided it does not disclose your confidential information.

3. Restrictions

You must not copy, modify, adapt or create derivative works; sell, rent, lease, sublicense, publish, distribute, transfer or make the software or its content available to a third party; share access credentials or permit unauthorised use; remove proprietary notices; use the software to create or train a competing product or database; bypass security or access controls; or interfere with the software or its infrastructure.

You must not reverse engineer, decompile, disassemble, translate or otherwise attempt to discover source code, structure, algorithms or non-public interfaces, except to the limited extent applicable South African law expressly prohibits that restriction. Where the law requires information to enable interoperability, first request it from S.T. and limit any legally permitted activity to the necessary extent.

4. Confidential Information and Data

Non-public software, credentials, project information, reports, records and materials accessed through the software are confidential. Protect them using reasonable safeguards and disclose them only to authorised personnel who need access for the licensed purpose and are bound by confidentiality obligations. Do not disclose them to any other person or company or use them outside the licensed purpose. Our Privacy Policy and any signed agreement also apply to personal information.

5. Users and Security

You are responsible for ensuring each user is authorised, follows this EULA and keeps credentials secure. Notify S.T. promptly of suspected compromise. S.T. may suspend access reasonably necessary to protect the software, data or users or to address a breach.

6. Updates and Availability

S.T. may provide updates or modify features for security, legal or operational reasons. Updates are subject to this EULA unless separate terms accompany them. S.T. does not guarantee uninterrupted or error-free operation.

7. Term and Termination

This licence continues while you are authorised to use the Services. It ends when your subscription, account or applicable agreement ends, or when terminated for material breach after any required notice and cure period. Upon termination, stop using the software, remove copies under your control and return or securely delete S.T.'s confidential materials, subject to legal retention duties.

8. Warranty and Liability

The software is provided as available and, to the extent permitted by law, without warranties not expressly stated in a signed agreement. Nothing excludes rights under the Consumer Protection Act, 2008 or other non-waivable law. Subject to those rights, S.T. is not liable for indirect or consequential loss; any other limitation of liability in a signed agreement applies to the extent lawful.

9. Law and Contact

This EULA is governed by the laws of the Republic of South Africa, subject to mandatory legal protections. Contact data@spectechonline.com with questions or requests.
